REGARDEZ MOI BREEDING PACKAGES
SALE TERMS

1. Regardez Moi Breeding Packages are available for purchase as a package commencing in
the 2009 season.
The package entitles the Purchaser to a live service during each of the following breeding
seasons, namely 2009, 2010, 2011, 2012, 2013 under Ryans Stallion Breeding Contract
2009 as amended (“RYANS SBC”).

2. Package availability will be restricted:-

• No greater than 50 packages will be released in the 2009 season;
• No greater than 100 packages in total to be released.

3. A Regardez Moi Breeding Package in any one season will entitle the Purchaser to have a
nominated mare served during that season. If the mare does not go into foal (as
determined by two 15 day pregnancy tests) this service fee is deemed to have been used.

4. The Purchaser may nominate a mare not owned by the Purchaser to receive the service
entitlement under Ryans SBC. The owner or agent for the nominated mare must sign and
observe the Ryans SBC.

5. The Purchaser may transfer / assign their interest in the Regardez Moi Breeding Package
but only subject to Ryans SBC and confirmation from the transferee that they accept Ryans
SBC. The Transferee / Assignee must sign a Regardez Moi Breeding Package Transfer
document, otherwise any Transfer / Assignment is invalid.

6. A Purchaser who fails to present a mare for Live Service in any given season foregoes the
service entitlement for that season.

7. The Regardez Moi Breeding Package entitlement is conditional upon Regardez Moi not
having sustained a disabling event. Disabling events include:-

• Death of Regardez Moi;
• Regardez Moi being unable to fulfill his serving duties due to injury or illness.

The Purchaser should arrange insurance to protect against loss of the service fee
entitlement by a disabling event. The Purchaser is solely responsible to secure and effect
insurance against a disabling event (if required).

8. Each Regardez Moi Breeding Package is available at $6,000 plus GST. There is an
additional handling fee of $300 plus GST per season to be paid upon the arrival of the
nominated mare for that season.

ADDITIONAL NOTES – REGARDEZ MOI BREEDING PACKAGE

A. Regardez Moi currently only provides live cover. All mares will need to be brought to Ryans
at the Newcastle Equestrian Centre, Heatherbrae for serving.

B. Service fee entitlement / service entitlement is subject to Ryans stud conditions including
agistment, vet and handling policies. Please refer to Ryans Stud Contract which will apply
to all visiting mares each season excluding clauses 1(a), 1(b), 1(e); 2; 3(a); and 11.

C. If a mare does not conceive after two 15 day pregnancy test the Ryans will nevertheless
continue to try and achieve a positive pregnancy and may permit the Purchaser / mare
owner to change mares. This option is a goodwill gesture and not a contractual obligation.
The Regardez Moi Breeding Package entitlement does not guarantee a positive
conception, Ryans will support their reputation and use best endeavours to achieve a
positive outcome.

D. Ryans will seek to adhere to the live foal guarantee stated in clause 10 of Ryans Stallion
Breeding Contract 2009 / 2010.

E. A standard breeding season at Ryans starts on 1 September and finishes on 15 March the
following year, the breeding season spans over six months. This allows the competition
program for Regardez Moi to be prioritised and still leaves sufficient time for all mares to be
covered.

F. All progenies sired by Regardez Moi have a priority acceptance for inclusion in the Auction
of the Stars program. Five Regardez Moi yearling were offered at the last Auction of the
Stars in Toowoomba on 16 August, 2009, all sold at an average of $17,950.00. Ryans at
the Newcastle Equestrian Centre have a floor price of $15,000.00 for Regardez Moi young
stock, outstanding foals have sold to $30,000.00.

G. Ryans will continue to promote Regardez Moi. He is currently on a program focused on
being selected on the Australian team for the World Equestrian Games (“WEG”) in 2010 at
Kentucky in the U.S.A. Regardez Moi is presently being promoted in an advertising
campaign which includes:-

• Comprehensive coverage in the Horse Magazine, Horse Deals, Stallions at Stud;
• The production of a Stallion DVD;
• The printing of glossy brochures;
• Independent advertising in smaller newsletters such as the NSW Dressage Council Centreline, etc;
• Stallion masterclasses conducted around the country, usually in conjunction with
• Auction of the Stars;
• Regular participation in the top international competitions in Australia. In 2008 to 2009 Regardez Moi was the Australian Grand Prix Champion and in 2009 represented Australia at the World Cup in Las Vegas in the USA.

The current budget anticipates an expenditure of $200,000.00 in the next 12 month period
promoting the stallion. This promotional campaign is an industry leader and is intended to
support the ongoing value of Regardez Moi progeny.

H. Subject to the availability of alternate stallions Ryans will exchange a service fee
entitlement in Regardez Moi for an alternate stallion standing at the Newcastle Equestrian
Centre, Heatherbrae if required by the Purchaser. The facility of an alternate stallion will be
available and is of particular interest if Regardez Moi sustains a disabling event.
